AllFineDining.com will provide you with a very successful bricks
and clicks marketing campaign. By using traditional marketing
techniques and incorporating them with the MASKS Art Project
we will be able to create a line out the door. The MASKS Art Project
has a prosperous 9 year history. Our Internet marketing strategy
allows a new generation of RISK-FREE NO COST advertising for
your restaurant. Association with AllFineDining.com will stimulate
traffic and generate customers to your establishment and turn empty
tables into filled ones. Participating restaurants will have the luxury
of being advertised and marketed via our website, AllFineDining.com.
All restaurant participants will be considered merchants of AllFineDining.com.

Merchants will allow for the authorized auctions, sales, and trading
of restaurant credit as determined by AllFineDining.com. This restaurant
credit will be in the form of a discounted gift certificate. Merchants must
agree to the AllFineDining.com privacy policy and all applicable terms
and conditions. Restaurant credit will be valid for one (1) year from the
date that such credit is sold by AllFineDining.com. If a merchant terminates
or fails to honor credit when presented for payment, it will result in a penalty.
Restaurants and merchants shall hold AllFineDining.com harmless with respect
to any claims, losses, suits, liability, or fault suffered by the restaurant, including
reasonable attorney's fees and costs, based upon or related to any item prepared
by AllFineDining.com.

THE RESTAURANT WILL HOLD ALLFINEDINING, ITS RESPECTIVE, ASSIGNS,
EMPLOYEES AND HEIRS HARMLESS FROM ANY CLAIMS, OR ACTIONS
AGAINST FOR ANY LOSS OR DAMAGE(S) OF THE WORK THAT MAY HAVE
OCCURRED DURING THE EXHIBIT/PROMOTION PERIOD. Restaurants and
merchants FURTHER AGREE TO INDEMNIFY AND HOLD US HARMLESS
WITH RESPECT TO ANY PERSONAL INJURY OR DEATH AS A RESULT
FROM ANY ALCOHOL CONSUMPTION DURING THE EVENT OF THE
AUCTION, AND FROM ANY TASKS PERFORMED BY THE
ALLFINEDINING.COM AND/OR ITS STAFF WITH RESPECT TO

THE HANGING INSTALLATION OF THE ART, AND ALL LIABILITIES

ARISING FROM THE SALES OR BIDSOF ANY OF THE ITEMS

OFFERED BY ALLFINEDINING.COM.
 

AllFineDining.com’s terms for the gift certificate program are one year.
This agreement shall be extended on an annual basis. A 90 days
advance notice is needed to cancel this program. The parties agree
that AllFineDining.com will begin selling restaurant credit and coupons
in the forms of gift certificates once this agreement is signed. Signed
agreements state that all terms and conditions stated in this agreement
have been approved and agreed upon with the qualifying merchant

enter into this Partnership Agreement on behalf of themselves,
assigns, and set forth following terms and conditions as constituting
